ARTICLE I. CONSTITUTION
Section 1. Provisions for establishment of the Public Transit Advisory Board (hereinafter PTAB) are provided in Resolution No. 101-76 as adopted by the Sioux Falls City Commission on April 19, 1976, and as amended on August 29, 1983, in Resolution No. 219-83, and on December 15, 1986, in Resolution No. 433-86. The responsibilities of the board are designated by Executive Order.
ARTICLE II. MEMBERSHIP AND APPOINTMENT
Section 1. Membership is drawn from the community with due regard to proper representation of such areas as private transportation providers, public transportation riders, advocates of the elderly and disabled, and representatives of the safety industry, school district, and general public. Board members are appointed by the Mayor with the advice and consent of the City Council. The board shall consist of up to seven members who serve three-year terms for a maximum of two consecutive full or partial terms.
Section 2. Any member may withdraw from the PTAB by giving written notice to the Transit Planner or the chairperson of the board. Any vacancy in the membership of PTAB shall be filled in the same manner as for appointment.
Section 3. In the event that a member has three consecutive unexcused absences, the member’s position on the board will be reviewed by the chairperson of the board and the Transit Planner, who will make a recommendation to the Mayor.
ARTICLE III. MEETINGS
Section 1. The PTAB shall establish a monthly meeting schedule; however, the chairperson of the board may cancel or postpone a meeting. Meeting dates for the following year shall be set on the last meeting date of each calendar year.
Section 2. A majority of the members presently appointed shall constitute a quorum for transacting the official business of the board.
Section 3. Special meetings of the PTAB may be called at any time by the chairperson or two members.
Section 4. The members of the PTAB shall be notified at least five days in advance of the time and place of regular and special meetings.
Section 5. All regular and special meetings of the PTAB shall be open to the public.
Section 6. Unless otherwise specified, Robert’s Rules of Order (Rev.) shall guide the proceedings at meetings of the PTAB.
ARTICLE IV. OFFICERS AND COMMITTEES
Section 1. The officers of the PTAB shall consist of a chairperson and a vice chairperson.
Section 2. The chairperson supervises the conduct of the board’s business and activities; serves, ex officio, on all committees; and presides at meetings.
Section 3. The vice chairperson has the full powers of the chairperson in his (her) absence. In the absence of the chairperson, however, the vice chairperson cannot change rules and does not serve as an ex officio member of committees.
Section 4. If the chairperson and the vice chairperson are absent, the most tenured board member present shall call the meeting to order and preside.
Section 5. Committees shall be appointed by the chairperson upon motion of the board. Their duties shall be specified in the motion. Their activities are limited to the purpose for which they were created, and after performing their service, ceases to exist.
ARTICLE V. ELECTION OF OFFICERS AND APPOINTMENTS
Section 1. The chairperson and vice chairperson of the PTAB shall be elected annually by the PTAB members at their May meeting and assume their duties at the June meeting.
Section 2. Officers’ terms shall be for one year. At the completion of his (her) term, he (she) may be elected again to the same position.
ARTICLE VI. CONFLICT OF INTEREST
Section 1. In matters concerning ethics and conflict of interest, Ordinance No. 88-95 shall apply.
ARTICLE VII. AMENDMENT
Section 1. These by-laws may be amended or new by-laws adopted at any regular or special meeting of the PTAB, provided written notice of the proposed change is given at least five business days in advance of the meeting.
Section 2. An amendment or new by-law requires a two-thirds vote of the members present and voting.
Section 3. The amended or new by-laws shall go into effect thirty days after the date of passage.
